An upgrade payment is for the right to use the improvements made in a
program. It does NOT purchase a full version. The old version is
therefore still part of the package and should not be donated. If a person
buys a later version at full market price, now the old version is free and
clear to be donated, sold, etc.

Those od us in education can normally purchase full packages for about the
cost of an upgrade, so we are getting a pretty good deal as we can add to
the number od units we can use. BUT we cannot upgrade the old copy to the
new version.
