Additional Ballot Questions
1.) Voting staff will be asked to vote on four additional articles for H-Net's Articles of Incorporation, to bring them more into conformity with federal tax and Michigan nonprofit statutes. These include provisions specifically limiting liability for staff, officers, and volunteers (editors); providing for distribution of assets in case the corporation dissolves; providing for action without a meeting (in effect, allowing electronic voting); providing for nondiscrimination; ensuring nonprofit operations; and discussing conflict of interest. The articles, accompanied by explanatory text, will be published on the staff list, at the voting site, and on the ballot.
2.) Alternates for officer vacancies: if a sitting officer accepts nomination for another open office, an alternate slot will be available on the ballot to permit candidates to finish that officer's term should he or she win election. This will have the effect of holding the required special election to fill the vacancy. This applies only to elected officers; at-large council seats that become vacant are filled through a different process outlined in the by-laws.
